General terms

User eligibility

Services and accounts are available to individuals and businesses capable of entering into binding contracts under the laws of Thailand. By using our services you represent that you have the authority to accept these terms on behalf of yourself or the entity you represent.

Users must be at least 18 years old or the minimum age required in their jurisdiction to form a binding contract. Minors should only access services under the supervision of a legal guardian.

You agree to use opsdirecomo services lawfully and not to process data or take actions that violate applicable law, infringe third-party rights, or enable harmful activities.

Some services, software components, or integrations may be restricted in certain countries. It is your responsibility to ensure compliance with local laws and export controls when using our products.

Account requirements

To access certain features or paid services, you may need to create an account and provide accurate information. You are responsible for maintaining account confidentiality and for all activity under your account.

Ensure the information you provide is current and accurate. Promptly update any changes to prevent service interruptions and to ensure proper communication about your projects.

Use strong passwords and follow recommended security practices. Notify opsdirecomo immediately if you suspect unauthorized access to your account so we can take protective measures.

Accounts are personal and non-transferable unless we explicitly agree in writing. Resale or assignment of account access is not permitted.

If you suspect your account has been compromised, contact support immediately at [email protected] so we can contribute and secure your account.

We may suspend or restrict access to accounts that violate these terms, pose security risks, or engage in suspicious activity. We will notify you of any suspension and the steps required to restore access.

Services provided

opsdirecomo provides AI software development, machine learning model integration, automation solutions, and related consulting services tailored to business needs. Service scope, deliverables, and timelines are set out in project proposals or subscription descriptions.

We may modify service features, underlying models, or integrations as part of normal product development. For paid services, significant changes that materially affect deliverables will be communicated before they take effect.

We strive for reliable service delivery but cannot promise uninterrupted availability. Scheduled maintenance or necessary updates may cause temporary interruptions; we will provide advance notice where feasible.

Acceptable use rules

To ensure a safe and productive environment, users must comply with these usage rules when using opsdirecomo services and software.

• Do not use services to develop, deploy, or support illegal activities or content that promotes violence, discrimination, or harm.
• Do not attempt to reverse-engineer, decompile, or bypass security measures of our software or any third-party integrations used in our services.
• Do not upload or process data you are not authorized to share, including personal data of others without lawful basis and consent.
• Do not use the services to create deepfakes, disinformation campaigns, or other deceptive content intended to mislead or defraud.
• Comply with rate limits and API usage policies to avoid disruption for other users and maintain service stability.
• Respect intellectual property rights; do not submit content that infringes third-party copyrights or activity.
• Follow our security guidance and promptly report vulnerabilities or misuse to [email protected].

User content

You retain ownership of any content you submit to opsdirecomo as part of project collaboration, subject to the licenses you grant us below.

You represent that you own or control the rights to any user content submitted and have authority to grant the licenses needed for us to perform the services.

By submitting content, you grant opsdirecomo a non-exclusive, worldwide, royalty-free license to use, reproduce, and process the content for the purpose of providing, improving, and maintaining the contracted services.

You are responsible for the accuracy, legality, and compliance of user content, including personal data and third-party materials.

If you request removal of content, we will stop using it in future processing where feasible, subject to retention requirements and our need to complete contracted services.

Intellectual property

All intellectual property rights in opsdirecomo’s pre-existing software, methodologies, tools, and documentation remain the property of opsdirecomo. Deliverables specifically created for you are licensed or assigned according to the project agreement.

• You may not copy, distribute, or create derivative works of opsdirecomo proprietary software outside the licensed scope.
• You may not remove or alter copyright, activity, or other proprietary notices in our software or documentation.
• Any feedback or suggestions you provide may be used by opsdirecomo to improve services without obligation to you.

Paid services and subscriptions

Paid offerings include custom AI development projects, managed AI services, API access, and subscription plans. Specific terms are described in service agreements or ordering documents.

Pricing for projects and subscriptions is set out in quotes or the service page on opsdirecomo.digital. Prices exclude applicable taxes and fees unless stated otherwise.

Payments are due according to the invoicing schedule in your agreement. We accept the payment methods listed in your invoice and may suspend services for overdue accounts after notice.

Subscription services renew automatically unless cancelled before the renewal date. Cancellation terms are specified in the subscription agreement and customer dashboard.

Refunds are handled according to the applicable service agreement. For project-based work, refund eligibility is evaluated on a case-by-case basis in light of delivered work and incurred costs.

Either party may terminate a project or subscription in accordance with the notice and termination terms in the agreement. Termination does not relieve either party of obligations accrued prior to termination.

You are responsible for any taxes, duties, or similar charges applicable to purchases, excluding taxes based on opsdirecomo’s net revenue.

We may adjust prices for subscription services with prior notice. For long-term contracts, price changes will follow the terms agreed in the contract.

Non-payment may result in suspension or termination of services, and unpaid amounts may be referred to collection, subject to applicable law.

Disclaimer

Services are provided as described in project agreements and marketing materials. While we apply professional expertise and industry-standard methods to deliver solutions, results may vary based on data quality, scope, and external factors.

Limitation of liability

To the extent permitted by law, opsdirecomo’s liability for direct damages arising from services is limited to the fees paid for the particular service during the preceding twelve months. We are not liable for indirect, incidental, special, or consequential damages.

Third-party products and services

Certain services rely on third-party platforms, libraries, or cloud providers. Use of those components is subject to their terms and privacy practices. opsdirecomo is not responsible for third-party faults or outages.

Termination

Either party may terminate a service agreement in accordance with its termination provisions. Termination may be for convenience or for material breach as specified in the contract.

Upon termination, you will pay for services performed up to the termination date. We may delete or archive your project data according to our retention policy and any separate agreement.

Privacy and data protection

We process personal data in accordance with our Privacy Policy available on opsdirecomo.digital. Data handling for custom solutions will be described in project scoping documents and agreements.

Communications

We may contact you by email, phone, or other means about your account and services. You can manage marketing preferences while essential service notifications remain necessary for performance and compliance.

Changes to terms

We may update these terms from time to time. Material updates will be posted on opsdirecomo.digital with an updated effective date. Continued use after changes constitutes acceptance of the updated terms.

Governing law

These terms are governed by the laws applicable in Thailand. Disputes arising from or related to these terms may be subject to the jurisdiction specified in the service agreement or as required by applicable law.

Dispute resolution

The parties should first attempt to resolve disputes informally through good-faith negotiations. If unresolved, disputes may be escalated in accordance with dispute resolution provisions in the applicable agreement.
